Refund & Cancellation Policy

Please review our policy regarding project engagements, advance deposits, milestone billing, and service cancellation terms before initiating any commercial transaction with Digontom Private Limited.

Last Updated:October 2026Entity:Digontom Private LimitedEffective Date:Immediate Upon Engagement

1Nature of Bespoke Technology Services

Digontom Private Limited ("Digontom", "we", "us", or "our") is a professional technology firm delivering custom software engineering, web application development, native mobile app creation, cloud architecture, and artificial intelligence automation solutions.

Unlike off-the-shelf commercial goods or mass-market pre-packaged software, every client engagement is bespoke, tailored to unique client specifications, and directly dependent on dedicated human expertise, intellectual capital, and reserved engineering hours. As such, once an agreement is executed and an advance payment is received, immediate expenses and operational commitments are irreversibly incurred by Digontom.

2Advance Payments & Retainers (Strictly Non-Refundable)

Before initiating architectural design, sprint zero, code repositories, or development activities, Digontom requires an initial advance payment (or retainer) as defined in the project scope of work (SOW) or commercial invoice.

All advance payments are strictly non-refundable. We enforce this policy for the following operational and legal reasons:

Resource Bandwidth Reservation

Specialized senior software engineers, system architects, and UI/UX designers are immediately allocated exclusively to your project schedule, turning down other client contracts.

Upfront Inception & Setup

Requirement discovery, user-story mapping, technical system architecture, and repository initialization begin the moment commercial terms are affirmed.

Infrastructure & Tooling Costs

Cloud instances, specialized third-party APIs, sandbox environments, and proprietary tool licenses are provisioned upfront to support your deliverables.

Irrevocable Intellectual Effort

Strategic advisory, solution prototyping, and scoping insights shared during sprint zero constitute proprietary work that cannot be retracted.

Under no circumstances—including client change of business direction, internal management changes, budget reallocation, personal circumstance, timeline deferrals, or unilateral project abandonment—will any advance deposit or booking retainer be refunded, transferred, or converted into unrelated service credits.

3Milestone-Based Payments & Completed Deliverables

Projects structured on a milestone schedule involve phased deliverables (e.g., Wireframing & Design Sign-off, Core Backend Development, Frontend Integration, User Acceptance Testing, and Final Deployment).

  • Commencement of Milestone: Once work on a specific milestone has commenced, the payment designated for that milestone is deemed earned and is non-refundable.
  • Sign-Off & Approval: When a client provides written approval, signs off on a milestone, or accepts deployment to staging/production, that milestone is permanently accepted. No retro-active refund claims will be entertained for previously approved phases.
  • Progress Payments: Periodic or weekly progress billing covers hours already expended by our engineering team and cannot be retracted once billed.

4Client-Initiated Cancellation

If a client wishes to terminate or cancel a project before final completion, the following legal and billing conditions apply:

  • Written Notice Required: Cancellation requests must be sent formally via registered email to contact@digontom.com by the authorized project signatory.
  • Forfeiture of Advance Payments: The client unconditionally forfeits the entirety of the initial advance payment and any milestone payments already rendered.
  • Prorated Settlement of Work-in-Progress: If the cumulative value of engineering hours, deliverables, and third-party expenses incurred up to the notice date exceeds the advance amount, Digontom will issue a final prorated invoice. The client agrees to settle this invoice in full within fourteen (14) calendar days of issuance.
  • Handover of Completed Assets: Subject to full payment of all outstanding dues, Digontom will release completed code repositories, design files, and documentation corresponding strictly to paid and settled milestones.

5Digontom-Initiated Project Termination

Digontom reserves the right to suspend or terminate service delivery without refunding any advance payments in the event that:

  • Client Non-Responsiveness: The client fails to provide necessary assets, feedback, credentials, or communications for a period exceeding thirty (30) consecutive calendar days.
  • Default on Payment: The client fails or refuses to settle an undisputed milestone invoice within the stipulated payment window.
  • Contractual Breach or Unlawful Conduct: The client engages in abusive conduct towards our staff, requests development of unlawful or fraudulent systems, or breaches non-disclosure and intellectual property clauses.

6Scope Adjustments & Revision Boundaries

Each project scope is clearly documented in the mutual statement of work. If a client requests features, integrations, or architecture changes outside the original scope, these will be addressed via a formal Change Request (CR) with separate timeline and billing estimates.

Delays, timeline extensions, or modifications arising from client-requested revisions do not establish grounds for fee clawbacks, penalty deductions, or refund claims.

7Chargebacks, Payment Disputes & Legal Remedies

We are committed to transparent and respectful client partnerships. If you experience an issue or have concerns regarding project execution, you agree to engage in good-faith negotiations directly with our management team prior to taking external action.

Filing a fraudulent, bad-faith, or unauthorized chargeback or payment reversal with a credit card issuer, bank, or payment gateway after contracting our services is a material breach of contract. In such events:

  • Digontom will submit comprehensive evidentiary dossiers (including signed proposals, email logs, code commits, IP connection logs, and delivered milestones) to dispute the claim.
  • The client agrees to indemnify Digontom for all associated recovery costs, merchant dispute penalty fees, administrative expenses, and statutory legal costs incurred to defend legitimate billings.

8Exceptional Scenarios (Sole Discretion of Management)

Only in the extraordinary event where Digontom formally certifies in writing that it is entirely unable to initiate the contracted project due exclusively to unforeseen internal company incapacitation, and prior to any sprint planning, architecture design, research, or developer scheduling having commenced, Digontom management may, at its sole and absolute discretion, review the eligibility of an advance fee adjustment.

9Governing Law & Jurisdiction

This Refund and Cancellation Policy and any related commercial agreement shall be governed by and construed in accordance with the substantive laws of the Republic of India. Any legal dispute, controversy, or proceeding arising out of or relating to this policy shall fall within the exclusive jurisdiction of the competent courts located in Kolkata, West Bengal, India.
